1. Acceptance of Terms
Welcome to Sides, an AI-powered audition coaching platform. These Terms of Service ("Terms") govern your use of our website, mobile application, APIs, integrations, documentation, features, updates, support, and related offerings (collectively, the "Service") operated by Sides ("Sides," "we," "us," or "our"). These Terms constitute a legally binding agreement between you and Sides regarding the Service.
If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms, and references to "you" refer to both you individually and that entity.
You must comply with applicable laws wherever you reside or use the Service. Some jurisdictions limit certain limitations or dispute terms below—those Terms apply only to the maximum extent permitted in your jurisdiction.
By accessing or using our Service (including registering an account), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, discontinue use immediately and close your account.
2. Description of Service
The Service helps you rehearse, receive AI-assisted feedback on performances, organize progress, collaborate with Scene Partner tooling, and access chat-based coaching. Features may integrate third-party AI or infrastructure providers whose availability and accuracy can fluctuate. Beta, labs, previews, demos, roadmap features (if offered) remain subject to these Terms and may terminate without compensation. Unless a feature expressly says otherwise, the Service does not submit auditions or materials to casting offices on your behalf.
Our Service includes but is not limited to:
- Video upload and analysis capabilities
- AI-generated performance feedback and coaching suggestions
- Performance tracking and history
- Chat-based AI coaching (premium features)
- Scene partner practice modes (premium features)
3. Account Registration and Security
To access certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 13 years old to create an account. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service.
4. Subscription Plans and Billing
Subscription Plans
We offer various subscription plans with different features and usage limits. Plan details, pricing, and features are described on our pricing page and may be updated from time to time.
Billing and Payment
- Subscription fees accrue monthly or yearly as shown at checkout and renew automatically until you cancel.
- Promotional trials may convert into paid subscriptions if you don't cancel before the stated trial period ends.
- Quoted fees exclude taxes; we bill applicable sales, VAT, GST, digital services, withholding, tariffs, levies unless stated otherwise.
- You authorize us and our payment processors to store your payment method and charge it for current and future fees, including renewals, upgrades, add-ons, usage overages, chargebacks, late fees, and reasonable collection costs.
- Except where required by law, paid fees are non-refundable once provided, including when you stop using the Service early or downgrade.
- We may change prices or plan features with reasonable advance notice; continued use after the effective date constitutes acceptance.
- Past-due amounts may incur interest or suspension of the Service until brought current.

5. Content and Intellectual Property
Your Content
You retain ownership of your materials, including audition videos, scripts, transcripts, chat messages, and other submissions ("User Content"). You represent that you have the rights and, where needed, consents from cast, minors' guardians, or rights holders to upload that content for processing.
You grant us a worldwide, royalty-free license to host, copy, transcribe, display, encrypt, decrypt, summarize, annotate, analyze, moderate, watermark, synchronize, migrate, derive metrics from, sublicense to subprocessors solely to operate or secure the Service, and create derivative analytical outputs solely to deliver coaching features to you, subject to our Privacy Policy for personal data. Where permitted by law and our Privacy Policy, we may train and improve statistical or machine-learning components using aggregated or de-identified data—not your raw performance as personalized training without appropriate consent unless we notify you separately.
- Process and analyze your content to provide our services
- Store, cache, back up, and transmit your content as necessary for service operation
- Create derivative works (such as analysis reports, Scene Partner audio, or coaching notes) based on your content
We may monitor or scan content for legal compliance, copyright, safety, or abuse; remove or restrict content; suspend accounts; and comply with lawful requests. You release us from claims arising from good-faith responses to such requests to the extent permitted by law.
Our Content
The Service and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
6. Acceptable Use Policy
You agree not to use the Service to:
- Upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Violate any applicable laws or regulations
- Infringe upon the rights of others, including intellectual property rights
- Upload content containing nudity, excessive violence, or other inappropriate material
- Attempt to reverse engineer, hack, or compromise the Service
- Use automated tools to access the Service without permission
- Interfere with or disrupt the Service or servers
- Create fake accounts or impersonate others
7. Privacy and Data Protection
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use the Service. By using the Service, you also agree to our Privacy Policy.
8. Service Availability and Modifications
We strive to provide reliable service but cannot guarantee 100% uptime. We reserve the right to:
- Modify, suspend, or discontinue the Service at any time
- Update features, functionality, and pricing
- Perform maintenance that may temporarily affect service availability
- Set usage limits and restrictions
9. Termination
You may cancel your subscription at any time through your account settings. If you need assistance with cancellation or have questions, please contact our support team at hello@offbend.com. We may terminate or suspend your account if you violate these Terms.
Upon termination, your right to use the Service will cease immediately. Your video submissions and analysis results will remain accessible until you delete your account.
When you delete your account, all associated data including videos, analysis results, and personal information will be permanently removed from our systems, though we may retain certain information as required by law or for legitimate business purposes.
10. Disclaimers and Limitations of Liability
Service Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Artificial intelligence disclaimer
Automated feedback, Scene Partner audio, coaching chat, transcribed speech, and analytical scores may be imperfect, outdated, incomplete, offensive, or factually wrong. Outputs are not a substitute for instructors, acting coaches, accountants, attorneys, agents, medical professionals, psychologists, or other licensed professionals. You are solely responsible for how you interpret or rely on any output. We disclaim any warranty that AI features will be error-free, uninterrupted, unbiased, or tailored to your casting profile.
Limitation of Liability
To the fullest extent permitted by applicable law:
- We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages—even if we've been advised such damages might occur.
- Except for indemnity amounts you owe defending third-party claims covered by Section 11, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR TERMS SHALL NOT EXCEED THE GREATER OF (a) TOTAL FEES PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM, AND (b) ONE HUNDRED U.S. DOLLARS ($100).
- Limits apply individually and across every theory of liability (contract, tort, strict liability, statute, fairness, unjust enrichment)—even if remedies fail essential purpose—unless applicable law forbids waiver of certain categories.
Third parties
Casting, representation, academic, employment, licensing, and visa decisions are controlled by third parties. We do not promise callbacks, bookings, representation, union status, educational admission, employment, or other career outcomes. To the extent permitted by law, you release Sides from claims tied to those third-party outcomes or tied to other services you combine with the Service.
11. Indemnification
You will defend, indemnify, and hold harmless Sides, its affiliates, officers, directors, employees, contractors, and agents (the "Sides Parties") from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) User Content you submit; (b) your breach of these Terms; (c) your violation of law or third-party rights; (d) your dispute with another user; or (e) misuse of the Service. We may assume exclusive defense of any matter subject to indemnification at your expense; you will cooperate fully.
12. Governing Law and Disputes
Governing law
Subject to mandatory laws in your place of residence where they cannot be waived, these Terms are governed by the laws of the State of Texas, excluding its conflict-of-law rules, together with applicable United States federal law where federal jurisdiction exists (including arbitration under the Federal Arbitration Act, when applicable).
Informal resolution
Before filing any claim, you agree to send a written notice to hello@offbend.com describing the dispute and desired resolution, and to work with us in good faith for at least thirty (30) days.
Binding arbitration
Except for claims that qualify for small-claims court (where brought individually in such court's jurisdiction) or equitable relief to stop unauthorized use of IP, misuse of trade secrets, or breaches of these Terms enforced through narrow injunctive measures, each party agrees that disputes arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or Commercial Rules where they apply instead, as AAA determines) before a single arbitrator. The arbitrator may award individualized relief consistent with substantive Texas and applicable federal law. The seat of arbitration shall be Texas, USA, unless you and we agree otherwise in writing or AAA rules designate a reasonable alternative with notice to both parties.
Class waiver
You and Sides agree to bring claims only in an individual capacity, not as a plaintiff or class member in any consolidated, class, collective, or representative proceeding. If any court or arbitrator determines this waiver is unenforceable with respect to a particular claim, that claim must be severed and litigated in courts located in Texas, USA, unless otherwise required under applicable mandatory consumer-protection law—and the remainder proceeds in arbitration.
Exclusive venue for litigation
Subject to informal resolution, arbitration, and small-claims carve-outs above, to the extent a dispute proceeds in court, you and we consent to the exclusive jurisdiction and venue of state and federal courts located in Texas, USA, unless applicable law forbids mandatory venue clauses.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
